Course Introduction

International contracts often span multiple jurisdictions, involve diverse supply chains, and carry substantial commercial obligations. Despite careful planning, unexpected and uncontrollable events can disrupt contractual performance and create significant legal and operational challenges. These extraordinary circumstances—commonly known as force majeure—may include natural disasters, geopolitical conflicts, pandemics, government restrictions, or other events beyond the reasonable control of contracting parties. Understanding how these events impact contractual obligations is essential for organizations operating in global markets.

Force majeure clauses are a vital component of international agreements, as they define when parties may be excused from performance, outline notification requirements, and establish the legal consequences of invoking relief. However, interpretations of force majeure vary widely across legal systems and industries, making it crucial for professionals to understand the underlying legal principles and practical implications. Without this knowledge, organizations risk disputes, financial exposure, and strained commercial relationships.

This Force Majeure in International Contracts Training Course provides a comprehensive exploration of the legal foundations, drafting techniques, and practical applications of force majeure provisions. Participants will examine how different jurisdictions and arbitration bodies interpret force majeure, and how well‑structured clauses can protect organizations during disruptive events.

Through real-world case studies, legal analysis, and practical exercises, participants will gain the skills needed to manage contractual disruptions, mitigate risks, and strengthen their international contracting practices.

Key areas covered include:

  • Legal principles and definitions of force majeure in international contracts
  • Drafting and interpreting effective force majeure clauses
  • Jurisdictional differences in force majeure application
  • Managing contractual disruptions and mitigating risks
  • Practical strategies for dispute resolution and contract resilience
